Terms and Conditions

1. Introduction
These Terms and Conditions ('Terms') govern the relationship between LocalThriver ('we', 'us', or 'our'), a digital marketing agency based in Hungary, and any individual or business ('you' or 'the Client') that engages our Google Business Profile optimisation services.
By signing a service agreement, submitting payment, or otherwise engaging our services, you confirm that you have read, understood, and agreed to these Terms.
We reserve the right to update these Terms from time to time. Any material changes will be communicated to active clients with reasonable notice.
2. Services
LocalThriver provides Google Business Profile (GBP) optimisation services to small and medium-sized businesses. The specific scope of work for your engagement will be outlined in your service agreement or onboarding documentation, but typically includes:
Audit and optimisation of your existing Google Business Profile
Ongoing content, post, and listing management
GeoGrid ranking tracking and monthly performance reporting
Strategic recommendations to improve local search visibility
We do not guarantee specific outcomes from Google's algorithm or third-party platforms beyond the terms of our guarantee set out in Section 5. We work diligently within Google's guidelines and best practices, but ranking results can be affected by factors outside our control, including Google algorithm updates, competitor activity, and the accuracy of information provided by you.
3. Retainer and Payment
3.1 Monthly Retainer
Our services are provided on a monthly rolling retainer basis. There is no fixed minimum term. Your retainer fee will be agreed upon before work commences and confirmed in your service agreement.
3.2 Billing
Payment is collected on a recurring monthly basis via Gocardless. By engaging our services, you authorise us to charge your nominated payment method on the agreed billing date each month.
3.3 Failed or Overdue Payments
If a payment fails or becomes overdue, we will notify you promptly. We reserve the right to pause all active work on your account until payment is received. We will not permanently cancel the engagement due to a single failed payment without first giving you a reasonable opportunity to resolve the issue. Repeated or prolonged non-payment may result in termination of the agreement under Section 6.
3.4 Price Changes
We reserve the right to adjust our pricing. If we increase your retainer fee, we will provide at least 30 days written notice before the new price takes effect. You may cancel under Section 6 if you do not wish to continue at the new rate.
4. Client Responsibilities
To deliver results effectively, we rely on your cooperation. By engaging our services, you agree to:
Provide accurate and up-to-date information about your business during onboarding and throughout the engagement
Grant us the necessary access to your Google Business Profile to carry out the agreed work
Respond to reasonable requests for information, approvals, or assets (e.g. photos) in a timely manner
Notify us promptly of any changes to your business that may affect your GBP listing (e.g. address change, new services, temporary closure)
Ensure that all information you provide to us is accurate and does not infringe the rights of any third party
We are not liable for delays or poor performance caused by your failure to meet these responsibilities.
5. The 90-Day Guarantee
We offer a performance guarantee: if your Google Business Profile does not achieve a top 3 local ranking for agreed target keywords within 90 days of us commencing active optimisation work, you will not pay for continued service until results are achieved.
5.1 Conditions
The guarantee applies only where all of the following conditions are met:
You have completed the onboarding process in full and provided all requested information and access
You have remained on an active, paid retainer for the full 90-day period
The target keywords and geographic area were agreed in writing at the start of the engagement
No significant changes were made to your business, location, or GBP listing by you or a third party without our knowledge during the period
Your business and GBP listing comply with Google's policies throughout the engagement
5.2 Remedy
The exact form of the guarantee remedy (e.g. extended free service, partial refund, or credit) will be specified in your individual service agreement. This Terms document does not override the guarantee terms agreed in writing at the time of sign-up.
5.3 Exclusions
The guarantee does not apply where poor results are attributable to factors outside our reasonable control, including but not limited to Google algorithm changes, Google policy enforcement against your listing, competitor activity, or inaccurate information provided by you.
6. Cancellation
6.1 Cancellation by You
You may cancel your retainer at any time by providing 14 days written notice to hello@localthriver.com. Your final billing cycle will be the one that is active at the time notice is received. We do not offer refunds for partial months already paid.
6.2 Cancellation by Us
We reserve the right to terminate the engagement immediately and without refund if:
You breach these Terms and fail to remedy the breach within 7 days of written notice
Payment remains outstanding for more than 14 days after the due date despite notice
You engage in conduct that is abusive, threatening, or unlawful toward our team
Continuing the engagement would require us to act in violation of Google's policies or applicable law
In all other circumstances, we will provide 14 days written notice of termination.
6.3 Effect of Cancellation
Upon cancellation, we will cease all active work on your account. Ownership of all work product created up to the date of cancellation transfers to you in full, subject to all outstanding fees being settled.
7. Intellectual Property
All work product created by LocalThriver as part of your engagement — including optimised GBP content, posts, descriptions, and any edited images — becomes your property upon completion and full payment of all associated fees.
We retain the right to use anonymised or aggregated data about your campaign's performance (e.g. ranking improvements, category benchmarks) for internal analysis and marketing purposes, provided no personally identifiable information about you or your business is disclosed without your consent.
Any tools, systems, templates, or methodologies we use to deliver the service remain the intellectual property of LocalThriver and are not transferred to you as part of the engagement.
8. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of the engagement. This includes your business data, login credentials, performance data, and any proprietary processes we share with you.
We will not disclose your confidential information to any third party except where required by law or with your prior written consent. This obligation survives the termination of the agreement.
9. Non-Solicitation
During the term of the engagement and for 12 months following its termination, you agree not to directly solicit, recruit, or attempt to hire any employee, contractor, or service provider of LocalThriver who you became aware of through our working relationship.
This clause does not prevent you from hiring someone who responds to a general public job advertisement not specifically directed at our team members.
10. Limitation of Liability
To the fullest extent permitted by applicable law, LocalThriver's total liability to you — whether in contract, tort, or otherwise — is limited to the total fees you have paid to us under the active service agreement.
We are not liable for:
Loss of revenue, profit, or business opportunities resulting from ranking fluctuations or algorithm changes
Any actions taken by Google or other third-party platforms in relation to your listing
Indirect, consequential, or incidental losses of any kind
Any losses arising from information you provided that was inaccurate or incomplete
Nothing in these Terms limits liability for fraud, gross negligence, or any other liability that cannot be excluded under Hungarian law.
11. Warranties and Disclaimers
We warrant that we will deliver our services with reasonable skill and care, and in accordance with Google's published guidelines and best practices at the time of delivery.
We do not warrant or guarantee:
Any specific ranking position on Google or any other platform
A specific number of leads, calls, or customers generated as a result of our work
That Google will not change its algorithm, policies, or features in ways that affect your listing
You warrant that you have the authority to enter into this agreement on behalf of your business, and that all information and assets you provide to us are accurate and do not infringe the rights of any third party.
12. Governing Law and Disputes
These Terms are governed by the laws of Hungary. Any disputes arising from or relating to this agreement that cannot be resolved amicably between the parties shall be subject to the exclusive jurisdiction of the competent courts of Hungary.
We will always attempt to resolve disputes informally first. If you have a concern, please contact us at hello@localthriver.com and we will respond within 5 business days.
13. Entire Agreement
These Terms, together with your individual service agreement and any written onboarding documentation, constitute the entire agreement between you and LocalThriver with respect to the services. They supersede any prior discussions, representations, or agreements.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
